Its primary purpose is to raise capital through an initial public offering to acquire or merge with one or more unidentified private businesses, enabling them to become publicly traded with reduced regulatory hurdles compared to traditional IPOs. The company filed a Form S-1 registration statement with the SEC on October 16, 2025, proposing an IPO of 15,000,000 units at $10.00 each, aiming to raise $150 million, with an underwriter option for an additional $22.5 million; Nukkleus, Inc. holds majority ownership of its sponsor.
