The Class A Ordinary Shares are the main publicly traded security of the SPAC and are structured to provide investors exposure to the eventual combined operating company once a transaction is completed. Today, Graf Global Corp. is focused on its definitive business combination agreement with Big3 HoldCo LLC, the operator of the BIG3 professional 3-on-3 basketball league, with the combined public entity expected to be named Big3 Basketball Holdings, Inc. and to trade under the ticker associated with these Class A shares. Until that combination closes, Graf Global Corp. has no active operating business and primarily holds cash in trust, while its Class A Ordinary Shares function as a vehicle for public market investors to participate in the prospective sports and entertainment-focused enterprise.
